Terms of Service

1. Acceptance of Terms

By creating an account or using EZTalent ("the Platform"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional guidelines posted on the Platform. If you do not agree, you must not access or use the Platform.

By accepting these Terms, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and — if acting on behalf of a company or organization — that you are duly authorized to bind that entity to these Terms.

2. Description of Service

EZTalent is a three-sided marketplace connecting influencers (content creators), brands (advertisers/clients), and platform administrators. The Platform provides tools for campaign creation and management, influencer discovery, content submission and review, escrow-based payment processing via Stripe, in-platform messaging, and performance tracking.

3. User Accounts & Registration

To use our services, you must:

  • Be at least 18 years old
  • Provide accurate, current, and complete registration information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access
  • Keep your email address and profile information up to date

Account Deletion: You may delete your account at any time from your Settings page. Account deletion is permanent and will anonymize your personal data. Accounts with active campaigns must complete or cancel those campaigns before deletion. Pending payouts will be processed before account closure.

4. Influencer Obligations

Influencers on our platform agree to:

  • Have a minimum of 1,000 followers on at least one supported platform
  • Provide accurate follower counts and engagement metrics — inflated or purchased metrics are grounds for immediate termination
  • Complete the verification and approval process before accepting campaigns
  • Comply with all FTC disclosure requirements for sponsored content (including #ad and #sponsored tags)
  • Deliver campaign requirements as agreed with brands within the specified timeline
  • Submit only original content that does not infringe on third-party intellectual property
  • Not accept payment outside the Platform for campaigns initiated through EZTalent
  • Connect a valid Stripe account to receive payouts

5. Brand/Client Obligations

Brands using our platform agree to:

  • Provide accurate company information and have authority to create marketing campaigns on behalf of their organization
  • Fund campaigns via escrow — campaign budgets are held securely until work is completed and approved
  • Review and approve or dispute settlements within 14 days of campaign completion
  • Not request content that violates laws, platform guidelines, or third-party rights
  • Provide clear campaign briefs, deliverable expectations, and timelines
  • Not use the Platform to collect influencer personal data for off-platform solicitation

6. Payments, Escrow & Platform Fees

All payments are processed securely through Stripe. By using the Platform, you agree to the following:

  • Tiered platform fees are applied to all campaign budgets: 15% ($0–$999), 12% ($1,000–$4,999), 10% ($5,000–$9,999), 8% ($10,000+)
  • Brands must deposit the full campaign budget into escrow before a campaign can be activated
  • Escrow funds are held securely until campaign completion and two-layer settlement approval (brand approval, then admin approval)
  • Influencers must complete Stripe Connect onboarding to receive payouts
  • If a brand fails to respond to a settlement within 14 days, it is automatically approved and funds are released to the influencer
  • Escrow deposits are non-refundable once an influencer accepts a campaign, except in cases of verified non-delivery
  • Disputed payments are reviewed by the EZTalent team; escrow funds remain held until resolution
  • Stripe processing fees (2.9% + $0.30 per transaction) are additional and borne by the brand

7. Content Ownership & Licensing

Content submitted through EZTalent campaigns remains the intellectual property of its creator (the influencer), subject to the following:

  • By submitting content for a campaign, the influencer grants the brand a non-exclusive, worldwide license to use, reproduce, and display the content for marketing purposes for the duration specified in the campaign brief
  • EZTalent retains a limited license to use submitted content for platform promotion, case studies, and marketing materials
  • Brands may not resell, sublicense, or transfer content rights to third parties without explicit written consent from the influencer
  • Influencers warrant that all submitted content is original and does not infringe on third-party intellectual property

8. User-Generated Content & Reporting

The Platform enables user-generated content including feed posts, messages, profile information, and campaign submissions. You agree that:

  • You are solely responsible for the content you post
  • Content must not be illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
  • Users may report content they believe violates these Terms — reported content will be reviewed by our moderation team
  • EZTalent reserves the right to remove content and suspend accounts that violate these guidelines, at our sole discretion

9. Prohibited Conduct

Users may not:

  • Provide false or misleading information
  • Use fake followers, bots, or artificially inflated engagement metrics
  • Circumvent platform fees by transacting outside the Platform for campaigns initiated through EZTalent
  • Harass, abuse, threaten, or harm other users
  • Violate any applicable local, state, national, or international laws
  • Infringe on intellectual property rights
  • Attempt to access other user accounts, data, or systems without authorization
  • Use the Platform for any purpose other than legitimate influencer marketing activities
  • Engage in spam, phishing, or distribute malware through the Platform

10. Confidentiality

Users agree to keep confidential any non-public information shared through the Platform, including but not limited to: campaign details before public launch, pricing and rate information, business strategies, and personal contact information shared through in-platform messaging. This obligation survives account termination.

11. Indemnification

You agree to indemnify, defend, and hold harmless EZTalent, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your content or campaign materials; or (d) your violation of any third-party rights.

12. Limitation of Liability

EZTalent provides the Platform "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, EZTalent shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total aggregate liability is limited to the fees you have paid to EZTalent in the 12 months preceding the claim.

13. Dispute Resolution

Campaign disputes between brands and influencers will first be handled through our in-platform settlement process. If unresolved, disputes will be escalated to EZTalent administrators for mediation. For disputes related to these Terms:

  • Parties agree to first attempt informal resolution by contacting us at legal@eztalent.app
  • If informal resolution fails within 30 days, disputes shall be resolved through binding arbitration
  • These Terms are governed by the laws of the State of Delaware, United States

14. Termination

We reserve the right to suspend or terminate accounts that violate these Terms, at our sole discretion. Users may delete their accounts at any time from the Settings page. Upon termination, pending payouts will be processed according to the standard schedule. Obligations that by their nature should survive termination (including indemnification, limitation of liability, confidentiality, and intellectual property provisions) shall survive.

15. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify users via email or in-platform notification. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you disagree with the changes, you must stop using the Platform and delete your account.
